These Terms of Service (“Terms”) govern your access to and use of apexsupply.us and any purchase you make from Apex Supply US, LLC (“Apex Supply,” “we,” “us”). By using the Site or placing an order, you agree to these Terms.

1.Eligibility
You must be at least 18 years old (or the age of majority in your state of residence, whichever is older) to use the Site, make a purchase, or enter a sweepstakes. By using the Site you represent that you meet this requirement.
2.Store & Products
We sell apparel and related merchandise and run promotional sweepstakes. We strive to display products and pricing accurately, but we do not warrant that descriptions, colors, pricing, or other content are error-free, and we may correct errors, change products, or update pricing at any time.
3.Orders & Payment
All orders are offers to purchase and are subject to acceptance by us. We may refuse, limit, or cancel any order — including suspected fraudulent or entry-farming orders — at our discretion. Payment is processed at checkout through Shopify’s payment systems. In the event of a pricing or typographical error, we may cancel affected orders even after an order confirmation.
4.Sweepstakes
Our sweepstakes are governed by their Official Rules, which are incorporated into these Terms by reference. No purchase is necessary to enter or win; a free method of entry is available as described in the Official Rules. In any conflict between these Terms and the Official Rules regarding a sweepstakes, the Official Rules control.
5.Shipping & Returns
Shipping is governed by our Shipping Policy and returns by our Return & Refund Policy, each incorporated by reference. Note that merchandise tied to a giveaway becomes final sale once that giveaway ends.
6.Acceptable Use & Fraud
You agree not to misuse the Site, including by attempting to manipulate sweepstakes entries, using bots or automated tools, purchasing with intent to return for entry farming, initiating fraudulent chargebacks, or interfering with the Site’s operation or security. Violations may result in order cancellation, sweepstakes disqualification, and a ban from future promotions.
7.Intellectual Property
The Site and its content — including the Apex Supply name, logo, text, graphics, and design — are owned by or licensed to Apex Supply and are protected by intellectual-property laws. You may not copy, reproduce, or use them without our written permission. Apex Supply is not affiliated with, sponsored by, or endorsed by BMW AG, BMW of North America, LLC, or their affiliates; all third-party trademarks are the property of their respective owners.
8.Third-Party Links
The Site may contain links to third-party sites or services we do not control and are not responsible for.
9.Disclaimers
The Site and products are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.
10.Limitation of Liability
To the fullest extent permitted by law, Apex Supply and its members, officers, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site, the purchase or use of products, or participation in a sweepstakes. Our total liability for any claim will not exceed the amount you paid for the order giving rise to the claim.
11.Indemnification
You agree to indemnify and hold harmless Apex Supply from claims, losses, and expenses arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.
12.Governing Law & Disputes
These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles. Any dispute will be resolved individually (not as a class action) in the state or federal courts located in Connecticut, and you consent to their jurisdiction.
13.Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted, and your continued use of the Site means you accept the revised Terms.
14.Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
